Terms and Conditions

1. Description of the service

MODELGENT is a professional marketplace connecting adult creators aged 18 and over, OFM agencies, managers, chatters, editors, strategists, and other professional providers. MODELGENT provides profiles, a directory, messaging, requests, verification, reputation, visibility plans, and collaboration tools. Unless expressly stated by a written contract, MODELGENT is not an agency, representative, employer, adult content producer, fan payment processor, or party to the private agreements between users.

2. Eligibility and minimum age

Only persons 18 years of age or older may use MODELGENT. Creating accounts, profiles, requests, or communications on behalf of minors is prohibited. MODELGENT may request age and identity verification before or after registration, and may suspend accounts until the review is completed.

3. User roles

Creator/model: adult user seeking to collaborate with agencies or professional providers.

OFM Agency: entity or professional offering management, marketing, operations, or growth services to adult creators.

Manager: professional who manages or coordinates services with the creator's written authorization.

Chatter: professional who provides messaging support only with proper authorization, limits, and internal disclosure.

Editor/strategist/provider: professional offering editing, content, marketing, consulting, or operations services.

4. Nature of the marketplace

MODELGENT does not guarantee the quality, legality, results, earnings, conduct, solvency, or compliance of any user. Each user is responsible for their own agreements, tax obligations, permits, consents, intellectual property rights, and compliance with applicable laws.

5. Absolute prohibitions

Minors, content involving minors, or any suspicion of child exploitation.

Human trafficking, exploitation, coercion, grooming, threats, extortion, coercive control, or withholding of documents.

In-person sexual services, escorting, prostitution, or facilitation of physical sexual encounters.

Non-consensual, stolen, or leaked content, revenge porn, unauthorized sexual deepfakes, or impersonation.

Requesting, sharing, or storing passwords to external accounts without authorization and reasonable controls.

Deceptive earnings promises, guaranteed results, fake reviews, or unverifiable claims.

Using MODELGENT for fraud, money laundering, sanctions evasion, phishing, spam, or scraping.

6. Accounts, security, and verification

Users must provide accurate information, keep their credentials confidential, enable recommended security measures, and report unauthorized access. MODELGENT may apply KYC, age verification, manual reviews, sanctions screening, and additional verification for high-risk roles.

7. User content

Each user retains their rights over the content they upload or communicate, but grants MODELGENT a limited, worldwide, non-exclusive, and revocable license under these terms to host, display, moderate, and operate the service. Explicit content must not be uploaded unless MODELGENT expressly enables it. MODELGENT may remove content or profiles that violate these terms or the law.

8. Relationships between users

Agreements between creators, agencies, managers, chatters, and providers must be formalized in writing. MODELGENT recommends clear contracts covering services, commissions, duration, termination, return of access, content ownership, communication limits, publication authorization, payment, and dispute resolution. MODELGENT is not a party to those contracts unless expressly signed.

9. Plans, payments, and refunds

MODELGENT's plans may include access, visibility, verification, premium tools, or features. Fees, taxes, and renewal terms will be shown before payment. Refunds are governed by the Refund Policy. MODELGENT may deny or cancel payments linked to fraud, sanctions, abuse, or breaches.

10. Suspension and termination

MODELGENT may suspend or close accounts, restrict profiles, remove content, or block features when there is reasonable suspicion of legal infringement, risk to users, policy breach, fraud, non-payment, or an authority's request. Where possible and safe, an explanation and an appeal mechanism will be provided.

11. Limitation of liability

To the maximum extent permitted by law, MODELGENT shall not be liable for indirect losses, loss of profit, loss of data, loss of reputation, failed agreements, breaches by other users, or expected financial results. Nothing limits liability that cannot be limited by law.

12. Governing law and disputes

Dutch law is recommended for the EU entity, along with specific clauses for US users. Consumers retain the mandatory rights of their country of residence where applicable. For the US, arbitration, a class action waiver, and applicable state exceptions are provided for.

13. Acceptable Use Policy

This policy applies to all use of MODELGENT, profiles, messages, requests, reviews, links, portfolios, and communications within or around the platform.

Prohibitions: Minors, or any content, conversation, or indication related to minors; Exploitation, trafficking, coercion, grooming, threats, blackmail, doxxing, or withholding of documents; In-person sexual services or facilitation of physical sexual encounters; Non-consensual, leaked, or stolen content, or revenge porn; Impersonation or fake reviews; Requesting passwords or handling creators' earnings without a written contract; Fraud, spam, phishing, money laundering, or illegal activity.

14. Agency Code of Conduct

Agencies are responsible for acting professionally, transparently, and lawfully. Non-compliance may result in immediate suspension. Obligations: Work only with verified 18+ creators under written authorization; Not withhold passports, documents, cards, passwords, or earnings; Not change passwords or lock creators out of their accounts; Not publish content without sufficient approval; Not pressure creators into producing non-consensual content; Not promise guaranteed earnings or use fake testimonials; Maintain clear contracts covering commissions; Allow a reasonable exit and return of assets upon termination; Comply with external platforms' terms and cooperate with investigations.

15. Disclosure of Chatters, Managers, and Artificial Intelligence

Chatters, managers, and AI systems pose a particular risk when they interact with fans or users as if they were the creator. MODELGENT requires authorization, limits, and controls.

Rules: A chatter may only operate with the creator's written authorization or that of the authorized agency; A record must exist of who is operating and when; Emotional manipulation, false promises of a personal relationship, extortion, or pressuring payments through deception are prohibited; The use of AI or bots must comply with applicable laws and the terms of external platforms.

16. Reviews and Advertising Testimonials

MODELGENT avoids fake reviews or unverifiable earnings claims. Testimonials must reflect real experiences, be authorized, and not be misleading. Publishing fabricated testimonials or promising guaranteed earnings is not permitted. Any material connection must be disclosed if the testimonial comes from affiliates or employees, and fraudulent reviews will be removed.
